, SECTION 1: THE GLOBAL LEDGER FRAMEWORK
This section provides the exhaustive, high-precision accounting protocols for corporate equity transactions. As an
elite CPA-standard framework, it utilizes international terminology—specifically Share Capital (for nominal/face
value) and Securities Premium or Paid-in Capital in Excess of Par (for value received above nominal).
I. The Issuance Phase: Receipt and Capitalization
Corporate capital may be raised in a Lump Sum (payable entirely on application) or in Installments
(Application, Allotment, and Calls)
1. Receipt of Application Funds
Journal Entry:
Debit: Bank A/c [Total shares applied × Application price]
Credit: Share Application A/c
Ledger Explanation: Debit Bank because an asset (cash) is increasing. Credit Share
Application as a temporary liability/clearing account representing the company’s
obligation to either allot shares or refund the money.
ASBA Variant (Application Supported by Blocked Amount): No entry is passed for the
"blocked" amount. The entry is only passed when the bank transfers the funds for allotted
shares to the company
, 2. Allotment and Transfer to Capital (At Par)
JOURNAL ENTRY:
Debit: Share Application A/c [Amount received on allotted shares]
Credit: Share Capital A/c [Number of shares allotted × Par value]
Ledger Explanation: Debit Share Application to clear the temporary account.
Credit Share Capital to record the increase in the owners' equity of the
corporation at its nominal value.
3. Allotment and Transfer to Capital (At Premium)
JOURNAL ENTRY:
Debit: Share Application A/c [Total amount]
Credit: Share Capital A/c [Par value component]
Credit: Securities Premium A/c [Premium component]
Ledger Explanation: Credit Securities Premium to record a capital receipt that is
distinct from nominal capital. This account is shown under "Reserves and Surplus" in the
Balance Sheet
