Entities Taxation
Accounting as per US GAAP and accounting for tax requirements have their
differences. These differences are reconciled and reported in Schedule M-1
of Form 1120 (Schedule M-3 for large and mid-sized corporations) with the
objective of making “differences between financial accounting net income
and taxable income more transparent”
C Corporations
C corporations are named so based on the different taxability structures in
the US. A C-corp is taxed separately from its owners. Double Taxation comes
into play here as the taxed corporate profit distributions “Dividends” are
taxable in hands of the shareholders as well.
Schedule M-1
Filing requirements
C corps - Eligible to use Schedule M-1 If the total assets or total receipts
are equal to or greater than $250,000
S corp - Eligible to use Schedule M-1 If the total assets or total receipts
are equal to or greater than $250,000
Partnerships - Eligible to use Schedule M-1 If the total receipts are
equal to or greater than $250,000 and total assets equal to or greater
than $1,000,000

1. Income subject to tax not recorded in the books
2. Expenses not deducted in return but recorded in books
Subtract from Book Income
1. Income recorded in books but not included in return
2. Deductions in return but not deducted in books
*Business interest expense has a limit on the maximum deduction as per TCJA
starting from December 31st 2017. Applies to C corps, S corps, Sole Proprietors and
Partnerships.
