Application of the CISG (art. 1, 1 CISG):
• Sale of moveable goods (so not services)
o Roerende goederen
o Geen diensten
• International (parties from different member states)
o Minimal 2 landen moeten zaken doen
o Beide landen moeten aangesloten zijn bij deze 83 member states
• Professionals (so strictly Business to Business)
o B2B; geen consumenten/overheid
• (none of the exceptions of art. 2 and 6)
Voldoet het aan deze eisen? Dan is CISG toepasbaar. Voldoet er 1 niet? Dan niet!

Formation and conclusion of an agreement
• Offer and acceptance (art. 23 CISG)
• The agreement is concluded when the acceptance reaches the offeror (art. 18 CISG;
Reception Theory)
Offer (art. 14 CISG):
3 eisen:
• A proposal for concluding a contract
o Aanbod
• Addressed to one or more specific persons
o Aan 1 specifiek person
o (e-bay/marktplaats/newspaper dus niet, CISG kan niet!)
• Sufficiently definite
o Duidelijk maken wat je verkoopt (kleur/maat etc.)
o (Otherwise: “an invitation to make an offer”)
Is it possible to cancel your offer?
• Withdrawal (intrekken, art. 15): withdrawal must reach the offeree before or at the
same time as the original offer!
• Revocation (herroepen, art. 16): revocation is possible unless the offeree has sent
his or her acceptance!
