Final Paper Proposal: ACME Fireworks
I have recently been hired by the owner of ACME Fireworks to be the manager of the
company. As the manager I have been tasked by the owner to evaluate the validity of a recent
business agreements that were made to ensure they comply with the law. In the following
paragraphs I will address issues such as evaluation of the contracts and to decide if they will be
under the jurisdiction of commercial law or the uniform commercial code (UCC). The paper will
also analyze the essential elements of an enforceable contract and be able to determine if a
contract was formed. Next, I will explain what personal liabilities ACME Fireworks could face
should a spectator be hurt or injured by a stray firework from the firework display. In addition, I
will discuss dissimilar employment and relationships in accordance with agency laws and
analyze the advantages and disadvantages of each type specific to ACME Fireworks. Last but
not least I will explain why a sole proprietorship may not be such a good idea and look at the
benefits a Partnership may be able to provide.
The uniform commercial code has a mandate in modernizing contract law as well as in
allowing exceptions from the standard law in contracts between two parties. One of the key
attributes in policy of the uniform commercial code is to give people the opportunity to arbitrary
write contracts of their choice. The law also seeks to extinguish legal formalities in making
business deals. This is in an attempt to enable making contracts in the absence of lawyers and
elaborate processes and documentation. The contracts under the UCC requires for an offer made
to be valid without consideration if and only if the party offering the contract signs it. In
addition, modification without consideration will not void a contract for the sale of goods and
failure to state the price in the contract for the sale of goods does not void the contract.
